Definitions
-
Customer Application: Pata’s software and services, operated by Pata Pet Ltd. and distributed under the name "Pata," are accessible online at the domain pata.pet. The system is designed for Customers and allows them to book Services provided by Partners.

Partner Application: Pata’s software and services, operated by Pata Pet Ltd., are accessible online at partners.pata.pet. This application is designed for Partners to accept bookings from Customers and provide Services.

Customer: An individual who is at least 18 years old, has created an Account in the System, and uses it for non-commercial purposes to book pet care Services offered by Partners.

Account: A component of the System that includes a set of IT tools enabling access to the System for registered and logged-in Users.

License: A non-exclusive, revocable license granted to Users to access and use the System as outlined in these Terms of Use.

Partner: A business entity or individual who uses the Partner Application to provide Services to Customers and has created an Account for this purpose.

Profile: A profile created by a Customer or Partner in the System to facilitate use of its functionalities.

Booking: The process by which a Customer reserves Services offered by a Partner using the System.

GDPR: Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons concerning the processing of personal data and the free movement of such data.

UK GDPR: Refers to the retained EU law version of the General Data Protection Regulation (Regulation (EU) 2016/679) applicable in the United Kingdom, as amended by the Data Protection Act 2018 and other relevant legislation.

Service(s): Pet care services offered by Partners through the System, including grooming, training, boarding, walking, sitting, day care and veterinary services.

Terms of Use: This document, outlines the conditions for using the System.

User: A Customer or Partner registered to use the System.

Preliminary Provisions
-
These Terms of Use govern the electronic services provided by Pata Pet Ltd. through the System, defining the conditions under which Customers and Partners may use the platform to make or accept Bookings.

Pata Pet Ltd. operates as a technology intermediary, providing the System to facilitate connections between Customers and Partners. Pata is not a party to any agreements made between Customers and Partners and does not provide the Services offered on the platform.

Types and Scope of Pata Services

Pata provides Customers with access to the System, enabling:

Searching for Partners based on specified criteria.

Booking Services offered by Partners.
-
Pata provides Partners with access to the System, enabling:

Creating and managing a profile showcasing their Services.
-
Managing and responding to Bookings made by Customers.
-
Accessing tools for customer communication and operational management.
-
All graphic elements, layouts, text, software, and databases within the System are protected under copyright laws and are the property of Pata Pet Ltd..
-
Pata is not a party to any agreements for Services made between Customers and Partners. Pata is not liable for the quality, performance, or legality of Services provided by Partners.

Pata ensures the System’s availability, subject to Section 11.

Agreement on the Use of the System
-
Registration and acceptance of these Terms of Use establish a contract between the User and Pata Pet Ltd. for accessing and using the System.

The contract is entered into for an indefinite period.
-
Users gain access to the System’s functionality upon completing registration and logging into their Account.
-
Pata grants Users a non-exclusive, non-transferable, revocable license to use the System solely for its intended purposes. Any unauthorised access, reverse engineering, or use of the System for competitive purposes is strictly prohibited. Pata reserves the right to revoke this license for violations of these Terms.

Users must provide complete and accurate personal data during registration and ensure it remains current.

Each User may create only one Account. Pata reserves the right to block or delete duplicate Accounts.

Customers may withdraw from the contract within 14 days of registration by sending a notice to [email protected]. This right applies even though the platform is subscription-free.

Booking of Services

Customers may book Services via the System, subject to confirmation by the Partner. Bookings remain unconfirmed until accepted by the Partner.

Partners may specify terms for Bookings, including deposit payments or cancellation fees, which are visible to Customers before booking.
-
Failure to meet specified terms, such as deposit payment, may result in cancellation of the Booking.

Customers may cancel Bookings in accordance with the Partner’s terms. Refunds or cancellation fees depend on the Partner’s policy.
-
Partners are solely responsible for fulfilling Bookings, addressing complaints, and complying with legal obligations regarding service provision.
-
Pata acts as a commercial agent for Partners in facilitating Bookings and processing payments via the System. Payments made through Pata discharge the Customer’s debt to the Partner for the corresponding Booking.

Memberships

Overview:
-
Customers may purchase memberships via the System. Memberships allow Customers to book future services offered by Partners on the platform, subject to the membership terms.
-
Membership Terms:
-
Membership benefits, pricing, and terms (e.g., service discounts or booking credits) will be clearly detailed at the time of purchase.
-
Memberships are personal and non-transferable unless otherwise stated.
-
Usage:
-
Membership credits or benefits can only be applied to bookings made through the System.
-
Unused credits may expire after a specified period as outlined in the membership terms at the time of purchase. Expired or unused credits are non-refundable unless otherwise required by applicable law.

Cancellations and Refunds:
-
Memberships cannot be cancelled unless specified at the time of purchase. Any refunds will be governed by applicable law and the specific terms of the membership.

Partner Responsibilities:
-
Partners accepting bookings via memberships must honor the terms associated with the membership benefits as outlined in their agreement with Pata.

Positioning and Search Results
- Partner profiles appear in search results based on:
- Customer-specified criteria, such as service type and location.
- The Partner’s availability, reviews, and proximity to the Customer.

Fees and Payments
-
Subscription-Free Access:
-
Access to the System for both Customers and Partners is provided without a subscription fee.
-
Transaction and Processing Fees for Partners:
-
Payment Link Transactions:
-
For payments processed via Pata's payment link system, Pata Pet Ltd. charges Partners a processing fee of 2.99% of the transaction amount plus £0.45 (GBP).
-
This fee is automatically deducted from the transaction amount before settlement to the Partner.
-
Terminal (In-Person) Transactions:
-
For card-present transactions processed through Pata-supported terminals, Pata Pet Ltd. charges a processing fee of 1.75% of the transaction amount plus £0.45 (GBP).
-
This fee is automatically deducted before funds are transferred to the Partner.
-
Card Collection Fee:
-
For each stored card collection event initiated by a Partner or a Client of the Partner, Pata Pet Ltd. charges a fixed fee of £0.25 (GBP) per collection.
-
This fee is charged at the time the card is collected and deducted from the Partner's wallet balance.
-
Partner Wallet Top-Up Processing Fee:
-
For top-ups made by a Partner to their business account wallet, Pata Pet Ltd. charges a processing fee of 2.5% of the top-up amount plus £0.25 (GBP).
-
This fee is charged in addition to the top-up value and is collected at the time the top-up is processed.

Fee Deductions and Responsibility:
-
All applicable transaction and processing fees are deducted automatically from the relevant payment or the Partner's wallet balance, as described above. Partners are responsible for maintaining a sufficient wallet balance to cover applicable fees and charges.

SMS Notifications:
-
Partners are entitled to 50 free SMS notifications per month.
-
Additional SMS notifications beyond the free monthly limit will be charged at a rate of £0.06 per message.
-
Fees for additional SMS usage will be added to the Partner’s monthly invoice or billed separately as applicable.

Payments Processing via Stripe Connect:
-
Pata does not process payments directly, nor does it store payment card data.
-
Payments for Services are processed through Stripe Connect, a third-party payment gateway integrated into the System. By using the System, both Customers and Partners agree to abide by Stripe’s terms and conditions, available at https://stripe.com/legal/connect-account.

By agreeing to these terms or continuing to operate as a Customer or Partner on Pata, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time.

As a condition of Pata enabling payment processing services for Partners through Stripe, you agree to provide Pata Pet Ltd. accurate and complete information about you and your business, and you authorise Pata Pet Ltd to share it and transaction information related to your use of the payment processing services provided by Stripe.

Enhanced Payments Processing via Stripe Connect

Payment Card Storage:
-
Customers may choose to save their payment card details for faster and more convenient transactions on future bookings. Saved card details are securely stored by Stripe, and Pata does not access, process, or store full card information on its servers.

Purpose of Storing Payment Cards:
-
Saved payment cards are used solely for processing future payments authorised by the Customer through the System.
-
Security and Compliance:
-
Stripe adheres to industry-standard security protocols, including PCI DSS (Payment Card Industry Data Security Standard) compliance, to ensure the safety and confidentiality of stored card data.
-
Card data is encrypted and tokenised, and Pata retains only limited information, such as the card type and last four digits, for transaction reference.
-
Authorisation and Consent:
-
By opting to save payment card details, the Customer grants Pata and Stripe authorisation to use the stored card for transactions initiated through the System.
-
Customers can revoke this authorisation and delete saved payment details at any time via their Account settings.
-
Customer Rights:
-
Customers retain the right to manage, update, or delete saved card details through the System. Deleted cards will no longer be used for transactions.
-
Disclaimers:
-
While Stripe provides secure storage of payment details, Pata disclaims liability for unauthorised transactions resulting from a breach of Customer Account credentials. Customers are advised to safeguard their Account login information.

Fee Disclosure:
-
Partners are responsible for factoring transaction fees into their pricing when listing Services on the platform.
-
Customers pay only the price displayed by the Partner for the selected Service.
-
Responsibility for Transaction Fees:
-
Partners bear responsibility for any applicable taxes, deductions, or fees related to income generated through the System.
-
Transaction fees are non-refundable, including cases of Booking cancellations or disputes, unless otherwise agreed in writing by Pata.
-
VAT:
-
For Customers: All prices displayed on the System for Customers are inclusive of VAT, where applicable. The VAT amount will be included in the total price charged at checkout.
-
For Partners: All fees, charges, and costs payable by Partners to Pata Pet Ltd. (e.g., transaction fees, SMS charges) are exclusive of VAT. VAT will be added to Partner invoices at the applicable rate and detailed on the invoice.

Partners are responsible for managing and remitting VAT on the services they provide through the System.

Fee Adjustments:

Pata reserves the right to adjust the transaction fees or introduce new fees. Any changes will be communicated to Users at least 30 days in advance and will apply only to transactions made after the effective date of the change.

Obligations of Users

Customer Obligations:
-
Customers are responsible for providing and maintaining accurate booking and pet-related details, including vaccination or health conditions, that may affect the service.
-
Customers are responsible for ensuring the accuracy of all information provided during registration and booking.
-
Customers must ensure their pets meet any requirements specified by the Partner, including health or vaccination documentation.
-
Customers must disclose any medical or behavioral conditions related to their pets that could impact service delivery.
-
Customers must not misuse the System for unlawful purposes or in a way that disrupts other Users.
-
Partner Obligations:
-
Partners are responsible for providing accurate and up-to-date descriptions of their services, pricing, and availability.
-
Partners must ensure compliance with all applicable laws, including those related to licensing, permits, and insurance for their Services.
-
Partners must maintain their Account in good standing and promptly address any complaints or disputes with Customers.
-
Prohibited Uses
-
Users must not:
-
Engage in activities that disrupt or harm the System, including introducing viruses or malicious code.
-
Use the System for unlawful purposes, fraudulent activities, or spamming other Users.
-
Posting illegal, misleading, or harmful content on the System.
-
Sharing or misusing personal data obtained through the System.
-
Granting unauthorised third-party access to the System or their Account.
-
Circumvent or attempt to circumvent fees, booking processes, or Platform security protocols.
-
Violations of these prohibited uses may result in immediate suspension or termination of the User’s Account.

Pata’s Rights and Responsibilities
-
Pata is not liable for:
-
Interruptions in System availability due to maintenance, force majeure, or third-party failures.
-
Disputes between Customers and Partners regarding Services.
-
User-generated content that is illegal, inaccurate, or misleading.
-
Pata reserves the right to:
-
Temporarily suspend the System for maintenance or updates.
-
Remove content or suspend Accounts that violate these Terms of Use or applicable laws.
-
Liability and Indemnification
-
Pata’s Limited Liability:
-
Pata is not liable for any loss of profits, data, or business interruptions arising from the use of the System or services provided through it.
-
Pata’s total liability in relation to a specific Booking is capped at the transaction fees collected for that Booking.
-
User Indemnity:
-
Users agree to indemnify Pata against any claims, damages, or losses resulting from their breach of these Terms, misuse of the System, or infringement of third-party rights.

Restrictions on System Access

Pata reserves the right to restrict access to the System for:
-
Excessive cancellations or no-shows.
-
Suspicion of fraud or inappropriate behavior toward staff or Partners.
-
Breach of the Terms of Use or any applicable law.
-
Partner Restrictions:
-
Partners may independently restrict Customer access to services through the System
-
Data Protection
-
Compliance with Data Protection Laws:
-
Both Pata and Users must comply with the UK GDPR and other applicable data protection laws.
-
Pata processes personal data only as necessary to facilitate Bookings and communication between Customers and Partners, acting as a data processor.
-
Pata processes User data in compliance with UK GDPR. Details are outlined in the Privacy Policy.
-
Customer data is shared with Partners only to the extent necessary for fulfilling Bookings.
-
User Responsibilities:
-
Partners must handle Customer data obtained through the System in compliance with data protection regulations and ensure its secure storage and use.
-
Confidentiality
-
Protection of Confidential Information:
-
Users must treat all business, technical, or pricing information shared through the System as confidential and must not disclose it to third parties.
-
This confidentiality obligation remains in effect for two years after the termination of this agreement.
-
Exclusions:
-
Confidential information may be disclosed if required by law, a court of competent jurisdiction, or a regulatory authority.
-
Marketing and Promotional Usage
-
Pata reserves the right to use anonymised, aggregated data derived from User interactions on the System for marketing, analytics, and promotional purposes.
-
No personally identifiable information will be used without the User’s explicit consent.
-
Data Security and Breaches
-
Pata implements industry-standard security measures to safeguard User data. However, Users acknowledge that no system is completely secure.
-
Users must report any suspected breaches or unauthorised access to [email protected] immediately.
-
In the event of a data breach, Pata will notify affected Users in compliance with applicable data protection laws.

Dispute Resolution
-
Governing Law:
-
These Terms are governed by and construed in accordance with the laws of England and Wales.
-
Resolution of Disputes:
-
Disputes will first be addressed through negotiation or mediation. If unresolved, disputes may be brought to the courts of England.
-
Force Majeure
-
Pata shall not be held liable for delays, interruptions, or failures in performance caused by events beyond its reasonable control, including but not limited to acts of God, technical outages, natural disasters, or government restrictions.

Beta Features
-
Pata may introduce experimental or beta features to the System for testing and evaluation.
-
Such features are provided on an "as-is" basis, with no guarantees of functionality or availability.
-
Intellectual Property
-
All intellectual property, including trademarks, logos, designs, text, and software associated with the System, remains the exclusive property of Pata Pet Ltd.
-
Users may not copy, reproduce, or distribute any proprietary material without Pata's written consent.
-
Complaints
-
Complaints regarding the System should be sent to [email protected].
-
Complaints about the quality or performance of Services must be directed to the respective Partner.
-
Termination
-
Termination by the User:
-
Customers and Partners may terminate their agreement with Pata at any time by providing written notice to [email protected]. Upon termination, access to the System will be revoked.

Termination by Pata:
-
Pata may terminate or suspend a User’s Account with immediate effect if:
-
The User breaches these Terms of Use or any applicable laws.
-
The User engages in inappropriate or abusive behavior toward Partners or staff.
-
Fraudulent or suspicious activity is detected in relation to the User's Account.
-
Effects of Termination:
-
Upon termination:
-
Partners must settle any outstanding fees or charges owed to Pata.
-
Users will lose access to all System functionalities, including their Account.
-
Termination does not affect any rights or obligations accrued prior to the date of termination.
-
Survival of Provisions:
-
Clauses relating to fees, confidentiality, data protection, liability, and dispute resolution will survive termination.

Final Provisions
-
Pata reserves the right to update these Terms of Use. Users will be notified of changes at least 15 days before they take effect via email or internal System notifications.

By continuing to use the System, Users acknowledge acceptance of the revised Terms, including any amendments to fees or the use of third-party services such as Stripe Connect.
